These Terms of Service ("Terms") govern access to and use of Central Realty (the "Platform"), a property management service operated by Digipedia Limited ("Digipedia", "we", "us", or "our"). By creating an account, signing up an Organization, or otherwise using the Platform, you agree to be bound by these Terms. If you do not agree, do not use the Platform.
The Platform is offered to property owners, agents, and property managers ("Organizations") who register an account, and to the staff and tenants those Organizations invite or add ("Users"). By using the Platform in any capacity, you confirm that you have the authority to accept these Terms — on your own behalf, or on behalf of the Organization you represent.
Signing up creates an Organization and an Owner account for it. You are responsible for the accuracy of the information you provide, for keeping your login credentials confidential, and for all activity that occurs under your account. Newly registered Organizations are reviewed by our team before being marked approved; you may use the Platform in the meantime, but we may suspend or reject an Organization that violates these Terms or applicable law.
Each Organization is responsible for the accounts of the staff and tenants it adds, and for ensuring it has the right to hold and process their data on the Platform.
Access to the Platform's core property-management functionality is billed as a subscription based on the number of units under management, at a billing frequency you choose (monthly, quarterly, or annual — quarterly and annual billing carry a discount disclosed at the time of selection). Invoices are generated ahead of each renewal and are payable by the due date shown; unpaid invoices may result in suspension of Platform access until settled. Fees are quoted and billed in Kenya Shillings (KES) unless stated otherwise, and are exclusive of any taxes that may apply.
We may change subscription pricing on a going-forward basis. We will give reasonable notice of any pricing change before it applies to your next billing period.
Certain add-on features (for example, Bulk SMS, a Public Website, Custom Domains, or Short-Stay Bookings) are billed separately from the core subscription, on an annual basis, and only become active once payment is confirmed (by M-Pesa or a valid coupon code). Disabling a Premium Feature that is part of an active billing cycle takes effect at your next renewal rather than immediately; your underlying data and configuration for that feature are retained and restored if you re-enable it.
You agree not to use the Platform to:
We may suspend or terminate access for any account or Organization that violates this section.
As between an Organization and Digipedia, the Organization owns the data it enters onto the Platform (property, unit, tenant, and financial records) and is the data controller for that data; Digipedia acts as a data processor, providing the infrastructure that stores and processes it on the Organization's behalf, consistent with our Privacy Policy. Organizations are responsible for having a lawful basis to collect and process their own tenants' data, and for responding to those tenants' data-subject requests.
The Platform integrates with third-party services to function — notably M-Pesa (Safaricom) for payment processing, and SMS gateway providers for outbound notifications. Use of these integrations is also subject to the relevant third party's own terms, and we are not responsible for their availability or performance.
We aim to keep the Platform available and performant but do not guarantee uninterrupted access. Scheduled maintenance will be communicated where practical. Support is available via the contact details below during published support hours.
The Platform is provided "as is." To the fullest extent permitted by law, Digipedia's aggregate liability arising out of or relating to these Terms or your use of the Platform is limited to the fees you paid us in the three (3) months preceding the event giving rise to the claim. We are not liable for indirect, incidental, or consequential damages, including lost rental income or lost data, except where such liability cannot be excluded by law.
You may stop using the Platform at any time; you remain responsible for any fees already due. We may suspend or terminate an account or Organization for breach of these Terms, non-payment, or where required by law. On termination, we will retain your data for a reasonable period to allow for export, consistent with our Privacy Policy, after which it may be deleted.
We may update these Terms from time to time. We will update the "Last updated" date above when we do, and material changes will be communicated to Organization Owners by email. Continued use of the Platform after a change takes effect constitutes acceptance of the updated Terms.
These Terms are governed by the laws of Kenya, without regard to conflict of law principles. Any dispute arising under these Terms is subject to the exclusive jurisdiction of the courts of Kenya.
Questions about these Terms can be sent to [email protected].
