These CR Partner Program Terms ("Partner Terms") govern participation in the CR Partner Network, operated by Digipedia Limited ("Digipedia", "we", "us", or "our") as part of Central Realty (the "Platform"). By submitting a partner application, or by acting as an approved partner, you ("Partner") agree to be bound by these Partner Terms. If you do not agree, do not apply or continue participating in the program.
These Partner Terms apply in addition to, not instead of, our general Terms of Service and Privacy Policy, to the extent a Partner also uses the Platform directly (for example, the partner dashboard). Where the two conflict on a partner-specific matter, these Partner Terms control.
A Partner is an independent contractor, not an employee, agent, or joint venturer of Digipedia. Nothing in these Partner Terms creates a partnership, franchise, or exclusive arrangement — a Partner is free to represent other products and services, and Digipedia is free to work with other partners covering the same territory or customer base.
Submitting an application does not make you a Partner. Every application is reviewed by our team, typically within a couple of business days, and may be approved or declined at our discretion. An applicant has no access to the program, referral link, or dashboard until approved; a declined applicant may reapply after addressing the reason for decline.
Once approved, a Partner is assigned a unique referral link and code. A customer (Organization) is attributed to a Partner either by signing up through that Partner's referral link, or by being onboarded directly by the Partner through the partner dashboard. Attribution is set once per Organization and is not reassigned to a different Partner afterward, including where a customer was already a Digipedia customer before the referral.
A Partner earns commission, at the rate shown on their account, on the subscription amount an attributed Organization actually pays — after any discount or coupon and before tax — for as long as that Organization remains a paying customer. Commission is not earned on one-time Premium Feature purchases, setup fees, or amounts waived by a coupon. A commission rate is set by Digipedia at approval (and may be revised by Digipedia going forward); a rate change never rewrites commission already earned under the prior rate. If an underlying customer payment is refunded or reversed, the commission tied to that specific payment is reversed as well.
Earned commission clears a short holding period (to cover refunds) before joining a Partner's next payout batch, paid by M-Pesa or bank transfer to the payout details the Partner has on file. It is the Partner's responsibility to keep those payout details accurate and up to date; Digipedia is not responsible for a payout misdirected due to outdated details. A payout already marked paid is not clawed back except in the case of confirmed fraud.
A Partner account may be suspended or terminated by Digipedia for breach of these Partner Terms, fraudulent or misleading referral practices, or extended inactivity. A suspended or terminated Partner cannot make new referrals or onboard new customers, but this does not retroactively unwind commission already earned on referrals made while in good standing.
You agree, when representing the CR Partner Network, not to:
A Partner may stop participating in the program at any time by notifying us; commission already earned on referrals made in good standing before that point is still paid out on schedule. We may terminate a Partner's participation for breach of these Partner Terms or where required by law.
We may update these Partner Terms from time to time. We will update the "Last updated" date above when we do, and material changes will be communicated to active Partners by email. Continued participation in the program after a change takes effect constitutes acceptance of the updated Partner Terms.
These Partner Terms are governed by the laws of Kenya, without regard to conflict of law principles. Any dispute arising under these Partner Terms is subject to the exclusive jurisdiction of the courts of Kenya.
